Terms of Service

Introduction

Welcome to Rezenate. These Terms of Service (“Terms”) govern your access to and use of Rezenate (“the App,” “we,” “us,” or “our”), a group facilitation application owned and operated by Qwandery Inc., a Delaware corporation with its principal place of business in Utah.

By accessing or using Rezenate, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

Definitions

Throughout these Terms, we use the following terms:

• “Facilitator” refers to a registered user who creates and manages group sessions using Rezenate. Facilitators have accounts, control session settings, and are responsible for the sessions they run.
• “Participant” refers to an individual who joins a session created by a Facilitator. Participants do not create accounts; they instead join an active session (or "Room") anonymously, via a link or QR code shared by the Facilitator.

Beta Disclaimer

Rezenate is currently in beta. By using the App, you acknowledge and agree that:

• The App may contain bugs, errors, or other issues
• Features may change, be modified, or removed without notice
• The service may experience downtime or interruptions
• You assume all risk associated with using beta software

We provide the App on an “as is” and “as available” basis during the beta period. We are not liable for any data loss, service interruptions, or other issues that may arise from using beta software.

Not Medical Advice

Rezenate is not a medical or psychiatric service. The App is a facilitation tool designed to assist in running group sessions. It does not provide medical advice, diagnosis, or treatment.

Rezenate is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified health providers with any questions you may have regarding a medical or mental health condition.

If you are experiencing a mental health crisis, please contact emergency services immediately or call the 988 Suicide & Crisis Lifeline (in the United States).

Healthcare Provider Notice

Healthcare providers, therapists, and other professionals subject to HIPAA or similar healthcare privacy regulations should be aware that Rezenate does not currently offer Business Associate Agreements (BAAs) and is not designed to meet HIPAA compliance requirements at this time.

Healthcare providers who choose to use Rezenate do so at their own risk and are solely responsible for ensuring their use complies with all applicable healthcare privacy regulations.

Eligibility

You must be at least 13 years of age to use Rezenate. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the App and that they have read and agreed to these Terms.

By creating a Facilitator account, you represent that you have the authority and professional qualifications appropriate for facilitating group sessions in your context.

User Accounts

Facilitator Accounts

To access certain features of the App, you must create a Facilitator account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

Participant Access

Participants join sessions without creating accounts. Facilitators are responsible for ensuring that Participants in their sessions understand and comply with applicable session rules and guidelines.

Data Handling

Facilitator Data

We store information necessary to manage your Facilitator account and provide essential communications. You retain ownership of your account data, and you may request deletion of your account at any time.

Participant Data

Rezenate does not permanently store Participant data. Participant responses are temporarily held in our database only during active sessions and are:

• Deleted immediately when a room is closed
• Automatically purged within 24 hours if a room expires
• In rare cases involving technical issues, retained for up to 30 days before automatic deletion

Data Security

All data transmitted to and from Rezenate is encrypted in transit using industry-standard HTTPS/TLS encryption. This applies to all users at all times.

Cookies

Rezenate uses cookies and similar technologies to provide essential functionality (authentication, session management) and, with your consent, analytics to improve our services. You can manage your cookie preferences through your browser settings. For more details, see the Cookies section of our Privacy Policy.

Acceptable Use

You agree not to use Rezenate to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Harass, abuse, or harm other users
• Engage in spam or unsolicited communications
• Attempt to gain unauthorized access to the App or its systems
• Scrape, crawl, or otherwise extract data from the App without authorization
• Interfere with or disrupt the App's operation
• Use the App for any purpose that is fraudulent or deceptive

Intellectual Property

Rezenate and its original content, features, and functionality are owned by Qwandery Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the App for its intended purpose, subject to these Terms.

Payment and Subscriptions

Certain features of Rezenate require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Accept that subscriptions automatically renew unless cancelled

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from using the App will be accurate or reliable.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QWANDERY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Qwandery Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your conduct in connection with the App

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the App and updating the “Last Updated” date. Your continued use of the App after such changes constitutes your acceptance of the new Terms.

Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in the App. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qwandery Inc. regarding your use of the App and supersede all prior agreements and understandings.
